5. License & Access

You are granted a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes. This license does not include resale or commercial use, data mining, or any derivative use of the Site or its content. Unauthorized use automatically terminates your license.

6. Your Account

To purchase from the Site, you must register for an account. You are responsible for maintaining the confidentiality of your account details and all activities under your account. You must notify us immediately if you suspect unauthorized use. We may suspend or terminate accounts that violate our terms or applicable law.

7. Use Restrictions

You may not use the Site:

9. Product Listings & Third-Party Sellers

Some products are sold by third-party sellers. These sellers are responsible for the accuracy of their listings and for fulfilling the contract of sale. Yiri is not a party to any contract between you and a third-party seller and assumes no liability for their actions, omissions, or representations.

10. User Submissions & Reviews

By submitting content (reviews, comments, ideas, etc.) to the Site, you grant Yiri a worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, publish, and display such content. You represent that you own or control all rights to the content and agree not to post anything unlawful, defamatory, or infringing.

11. Disclaimers & Limitation of Liability

The Site and all content, products, and services are provided “as is” and “as available.” We make no warranties or representations, express or implied, including (but not limited to) the accuracy, reliability, or fitness for a particular purpose.

To the maximum extent permitted by law, Yiri shall not be liable for:

  • Loss of profits, revenue, data, goodwill, or business;

  • Indirect, incidental, or consequential damages;

  • Damages exceeding the amount paid by you for the specific product or service in question.

Nothing in these Terms limits rights that cannot be excluded under Australian Consumer Law or other applicable law.

12. Export Controls & Sanctions

You may not use the Site or purchase products if doing so violates any applicable export laws or sanctions. You agree to comply with all restrictions applicable in your jurisdiction.

13. Suspension & Termination

We may suspend or terminate access to the Site at any time, with or without notice, for conduct we believe violates these Terms, applicable laws, or is otherwise harmful to our interests.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Western Australia. Any disputes shall be resolved exclusively in the courts of Western Australia. You consent to this jurisdiction and waive any objection to venue or forum non conveniens.

15. Amendments

We may update these Terms from time to time by posting revised terms on the Site. Continued use after changes means you accept the new Terms. It is your responsibility to review them periodically.

16. Severability

If any provision of these Terms is found unenforceable, that provision shall be severed and the remainder shall remain in full force and effect.

17. Waiver

No waiver of any provision shall be deemed a waiver of any other provision or of our rights under these Terms.

18. Children

We do not sell products for purchase by children. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian.

20. Infringement Notices

If you believe your rights are being infringed, please send a detailed notice to our mailing address above. We may remove or disable content alleged to be infringing, without admission of liability.

False claims may result in liability. Consult legal advice if unsure of your rights.

Conditions of Sale

These Conditions of Sale govern all purchases of products on honey-wholesale.com.au, operated by Yiri Pty Ltd (ABN 42 638 349 274) (“we”, “us”, or “our”). By placing an order, you agree to be bound by these Conditions of Sale, in addition to our Terms of Use and Privacy Policy.

1. Contract Formation

These Conditions apply only to products sold directly by Yiri Pty Ltd. For products sold by third-party vendors, Section 11 of our Terms of Use applies.

Your order constitutes an offer to purchase. We will acknowledge receipt with an “Order Confirmation,” but the contract of sale is not formed until we dispatch your item(s) and provide a “Dispatch Confirmation.” Each Dispatch Confirmation forms a separate contract for the relevant item(s).

You agree to receive invoices electronically via your account dashboard. Paper copies are available upon request (see Section 14 for contact details).

We reserve the right to limit purchase quantities to amounts typical for household use and may reject orders accordingly.

2. Cancellation Policy

You may cancel your order at no cost any time before we send the Dispatch Confirmation by emailing info@honeywholesale.com.au with the subject “Urgent: Order Cancellation.”

Exceptions to Cancellation

Cancellation is not available for:

  • Perishable or rapidly expiring goods;

  • Customised or personalised items;

  • Services already provided with your consent;

  • Digital content not supplied on a tangible medium after download or use begins;

  • Newspapers, journals, or magazines (except subscriptions).

3. Returns Policy

Due to the nature of our products, we do not accept returns or issue refunds, except as required by law or in exceptional cases at our discretion. If you believe your situation warrants consideration, please contact us.

4. Statutory Rights

These policies operate in addition to your rights under the Australian Consumer Law. Nothing in these Conditions excludes, limits, or modifies your statutory rights unless permitted by law.

5. Pricing & Availability

Prices are inclusive of GST unless stated otherwise.

Product availability is as listed on our website. We do our best to ensure accuracy, but availability may change without notice. If an item becomes unavailable after you order, we will notify you and you will not be charged.

We reserve the right to correct pricing errors. If a product’s correct price is higher than stated, we may contact you for confirmation or cancel the order. If the correct price is lower, we will charge the lower amount.

6. Disclaimers & Limitation of Liability

Unless expressly stated otherwise:

  • All products are provided “as is,” without warranty except those required by law.

  • We disclaim all responsibility for loss arising from:

    • Product unavailability or delivery delays;

    • Use of products contrary to label or guidance;

    • Business losses, lost revenue, or consequential damages.

Where liability cannot be excluded, our liability is limited to the purchase price paid (including applicable shipping fees).

These limitations apply to the fullest extent permitted by law.

7. Therapeutic Products Disclaimer

Any products with therapeutic claims (e.g. bee pollen, propolis, mead, etc.) are not intended to diagnose, treat, cure, or prevent any disease and are sold as traditional or complementary wellness items only. You are responsible for ensuring suitability for your personal use, and should consult a healthcare professional before use if you are pregnant, nursing, or have any medical condition.

8. Governing Law

These Conditions are governed by the laws of Western Australia. Any disputes shall be resolved in its courts, and each party submits to their exclusive jurisdiction. We reserve the right to seek injunctive relief in other jurisdictions to protect intellectual property rights.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

9. Liquor Sales

Yiri Pty Ltd is licensed under the Liquor Control Act 1988:

  • Approved Manager: Natalie Bussau

WARNING: Under the Act, it is an offence to:

  • Sell/supply liquor to persons under 18;

  • Allow minors to purchase or attempt to purchase liquor.

10. Amendments

We reserve the right to modify these Conditions at any time. The version applicable to your order is the version in force at the time of your purchase.

11. Severability

If any provision of these Conditions is found invalid or unenforceable, the remainder shall remain in full force and effect.

12. Waiver

Failure to enforce any right under these Conditions does not constitute a waiver of future enforcement of that or any other right.

13. Children

We do not sell products for purchase by children. Purchases may only be made by those aged 18 or over, or with the involvement of a parent or guardian.

Mobile Terms of Service

The Honey-Wholesale mobile message service (the “Service”) is operated by Yiri Pty Ltd (“Honey-Wholesale”, “Yiri Pty Ltd”, “Yiri”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Honey Boutique’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Honey Boutique through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Honey Boutique. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to HoneyOnline or click the unsubscribe link (where available) in any text message to cancel. You’ll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Honey Boutique mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
